1. Acceptance of Terms

By accessing or using the BidsNexus website located at bidsnexus.com (the "Platform"), creating an account, or purchasing a subscription, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you must not access or use the Platform. BidsNexus reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending an email notification to registered users. Your continued use of the Platform after any changes constitute acceptance of the revised Terms.

2. Description of Service

BidsNexus is an AI-powered government contract and bid discovery platform that aggregates procurement opportunities from publicly available sources including, but not limited to, SAM.gov, state procurement portals, local government purchasing offices, and other public-facing bid databases. The Platform provides tools including bid search, AI-powered opportunity matching, deadline alerts, bid tracking pipeline management, and AI-assisted response drafting.

BidsNexus is an independent third-party technology company. We are not affiliated with, endorsed by, or a part of any federal, state, or local government agency. Access to our Platform does not confer any special status, certification, or qualification with any government entity.

3. Account Registration

To access certain features of the Platform, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and complete
• Keep your password confidential and not share it with any third party
• Accept responsibility for all activities that occur under your account
• Notify BidsNexus immediately at support@bidsnexus.com if you suspect any unauthorized use of your account

You may not create an account using a false identity, impersonate another person or entity, or create multiple accounts for the same individual or organization without our express written consent. BidsNexus reserves the right to refuse registration, cancel accounts, or remove content at our sole discretion.

You must be at least 18 years of age and capable of forming a binding contract to register for and use the Platform. By registering, you represent and warrant that you meet these requirements.

4. Subscription Plans and Payment

BidsNexus offers multiple subscription tiers, including a free tier and paid subscription plans (each, a "Plan"). The features, limitations, and pricing for each Plan are described on our pricing page and are subject to change with reasonable notice.

4.1 Free Plan

The free tier provides limited access to the Platform at no charge, subject to usage restrictions including but not limited to daily search limits, maximum saved bids, and maximum active alerts. Free tier availability is provided at BidsNexus's sole discretion and may be discontinued or modified at any time.

4.2 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid Plan, you authorize BidsNexus to charge your payment method on the billing cycle you select. All fees are stated in US dollars and are exclusive of any applicable taxes.

4.3 Cancellation and Refunds

You may cancel your paid subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. BidsNexus does not offer prorated refunds for partial billing periods. If you believe you were charged in error, contact support@bidsnexus.com within 30 days of the charge.

4.4 Price Changes

BidsNexus reserves the right to change subscription fees upon 30 days' prior written notice. Your continued use of a paid Plan after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in any manner that could disable, overburden, damage, or impair the site or servers, or interfere with any other party's use of the Platform
• Use any automated means, including robots, spiders, scrapers, or data mining tools, to access, scrape, or collect data from the Platform without our prior written consent
• Attempt to gain unauthorized access to any portion of the Platform or its related systems or networks
• Use the Platform to transmit unsolicited communications, spam, chain letters, or other forms of unauthorized solicitation
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform or its content for commercial purposes without our express written permission
• Use the Platform to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform
• Circumvent, disable, or otherwise interfere with security-related features of the Platform
• Reverse engineer, decompile, or disassemble any software component of the Platform
• Upload or transmit viruses, malware, or any other malicious code
• Violate any applicable federal, state, local, or international law or regulation

6. Intellectual Property

The Platform and its original content (excluding user-generated content and publicly sourced government data), features, functionality, design, and underlying technology are and will remain the exclusive property of BidsNexus and its licensors. The BidsNexus name, logo, and all related marks are trademarks of BidsNexus. You may not use these trademarks without the prior written consent of BidsNexus.

Government procurement data aggregated by the Platform originates from public sources and is not the proprietary content of BidsNexus. However, our compilation, organization, formatting, AI analysis, scoring algorithms, and presentation of that data constitute original works protected by applicable copyright and intellectual property law.

By submitting content to the Platform (including user profile information, notes, or other materials), you grant BidsNexus a non-exclusive, royalty-free, worldwide license to use, reproduce, and display such content in connection with providing the Service.

7. Data Accuracy Disclaimer

IMPORTANT: BidsNexus aggregates bid and contract opportunity data from publicly available government sources. We do not create, author, or independently verify the accuracy, completeness, currency, or reliability of any bid data displayed on the Platform. Government agencies publish and modify solicitations, cancel opportunities, change deadlines, and amend specifications at their discretion. Such changes may not be immediately reflected in our database.

Accordingly, BidsNexus expressly disclaims all warranties regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of bid data displayed on the Platform. You acknowledge that:

• Bid details, deadlines, values, and specifications may have changed since we last retrieved them
• A bid shown as "open" may have been cancelled, awarded, or amended by the issuing agency
• AI match scores and summaries are generated by automated algorithms and are not professional legal or business advice
• You are solely responsible for independently verifying all bid information with the issuing agency before acting on it
• BidsNexus is not responsible for any bid submission errors, missed deadlines, or lost business opportunities arising from reliance on Platform data

Always verify bid details, deadlines, and requirements directly with the issuing government agency through official channels before submitting any bid response.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIDSNEXUS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Platform
• Any conduct or content of any third party on the Platform
• Inaccurate, incomplete, or outdated bid data obtained through the Platform
• Unauthorized access to or alteration of your transmissions or data
• Any other matter relating to the Platform or these Terms

IN NO EVENT SHALL BIDSNEXUS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BIDSNEXUS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages; in such jurisdictions, BidsNexus's liability shall be limited to the greatest extent permitted by law.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, BIDSNEXUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BIDSNEXUS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Indemnification

You agree to defend, indemnify, and hold harmless BidsNexus and its officers, directors, employees, contractors, agents, licensors, suppliers, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

11. Third-Party Links and Services

The Platform may contain links to third-party websites, government portals, and external services that are not owned or controlled by BidsNexus. BidsNexus has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party services. We strongly advise you to review the terms and privacy policy of every third-party site you visit.

12. Termination

BidsNexus reserves the right, in its sole discretion, to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent or illegal activity, extended periods of inactivity, or non-payment of fees.

Upon termination, your right to use the Platform will immediately cease. You may request export of your data within 30 days following account termination. BidsNexus may retain certain information as required by law or for legitimate business purposes. All provisions of these Terms that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability — shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceeding, you agree to first contact BidsNexus at support@bidsnexus.com and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and BidsNexus concerning the Platform and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
